Doug’s professional background includes extensive experience in transactions involving estate planning, real estate law, tax, general business and corporate law.

Estate Planning

Doug’s practice includes all aspects of estate and trust administration, estate and family business succession planning, charitable gift planning, and legal and tax aspects of tax exempt entities. His clients include individuals, family offices, tax-exempt organizations, trust companies and other financial institutions. He is experienced in crafting estate plans for estates of all sizes, most notably complex estate plans involving substantial real estate holdings, life insurance, closely held

businesses, large retirement plan assets, stock options and other executive compensation plans, and special family considerations. Doug has considerable experience in using sophisticated estate planning techniques, such as personal residence trusts, charitable trusts, grantor retained annuity trusts, and irrevocable life insurance trusts, to effectively meet his clients’ objectives. Doug has also represented many individuals in the preparation of antenuptial agreements.

Real Estate Law

Doug has represented both buyers and sellers in all aspects of the acquisition, disposition, financing, development, construction and exchanging of commercial, industrial, residential and multi-family real estate. He has represented both landlords and tenants in the negotiation of residential and commercial leases. He also serves as a business advisor to clients in structuring real estate and other investment transactions. Doug’s experience includes commercial finance, tax valuation complaints, and the real estate aspects of corporate acquisitions, dispositions, and mergers.

Tax, General Business and Corporate

Doug has extensive experience in general tax matters, particularly mergers and acquisitions, corporate restructurings, including tax-free spin-offs, and partnership and limited liability company formations, liquidations, and reorganizations. He has structured numerous joint venture, like-kind exchange, deferred sale, and financing transactions for residential, commercial and industrial real estate. He has also negotiated numerous shareholder and close corporation agreements.

Doug’s general business and corporate practice revolves around commercial transactions, mergers and acquisitions and advising emerging and closely-held businesses, including such matters as the preparation and negotiation of asset purchase agreements, stock purchase agreements, employment agreements, noncompetition and nonsolicitation agreements, license agreements, merger agreements, entity formation (corporations, limited liability companies and partnerships), investment agreements, joint ventures, buy-sell agreements, equipment leases, consulting agreements, promissory notes, guaranty agreements, letters of intent, confidentiality agreements, deferred compensation agreements, security agreements, and bank loan documents.

Prior to joining the firm, Doug was General Counsel and Director of Leasing for RMS Investment Corporation, a regional real estate management company and the family office for the founding families of Forest City Enterprises.

Doug is a 1996 graduate of the Cleveland-Marshall College of Law and a 1997 graduate of New York University School of Law where he obtained a Master of Laws degree in Taxation. He is licensed to practice in the State of Ohio and the State of New York. He also serves as a member of the adjunct faculty of Kent State University where he teaches classes in Estate Planning and Probate Administration, Civil Law and Procedure and Legal Ethics.
